The role

We are looking for an ambitious and highly motivated private equity associate (ideally with a minimum of 4 years pqe) to join our busy and growing London team to work closely alongside 4 partners.


The lawyers in our private equity transaction practice represent sponsors that provide private capital, as well as the companies, management teams, family offices and entrepreneurs who utilise that capital to acquire, create and grow businesses around the globe.


The role will focus on advising private equity sponsors, portfolio companies and management teams on a broad range of matters, including auction and buyout processes, majority and minority investments, bolt-ons, exits and corporate advisory work.


We are looking to grow this busy and successful team as it is an integral part of our corporate practice and the firms wider PE capability and strategy.


Skills required

You will have the following skills/experience:

(a) experience of working on multiple private equity transactions, including drafting and negotiating preliminary documentation such as Exclusivity Agreements, Heads of Terms and Management Equity Term Sheets, as well as SPAs, Disclosure Letters, Investment Agreements and Articles of Association, legal due diligence and ancillary documentation;

(b) excellent drafting and technical skills;

(c) ideally, market knowledge of typical terms on private equity transactions;

(d) be able to work effectively independently, but also be a good team worker;

(e) have strong interpersonal and communication skills (including strong presentation skills);

(f) an ability to get on well with clients, colleagues and support staff;

(g) be able to work effectively under pressure and to stay calm;

(h) ideally have experience working in the London office of an international firm.
