A PE backed international software business about to embark on a strategic M&A journey is seeking a Corporate Development Director to lead on daily M&A activity.
Reporting to the CEO and responsible for running origination to execution activities, as well as a range of value creation projects, this is a critical hire that will compliment the already impressive organic growth of the business.
If applying to this role it is essential that you have prior software / SaaS deals experience, have a strategic approach to origination and M&A, and have the gravitas to operate at an executive level. It is highly likely that you will have prior investment banking or M&A Advisory experience, as well as further experience gained as a PE investor or from within a corporate development position.
Duties to include:
- Driving all origination efforts, with a real focus on value creative opportunities.
- Partnering with the senior leadership team (including product, tech and sales teams) to identify gaps, adjacent spaces, and opportunities that can be rectified / realised by M&A.
- Undertaking all required analysis and due diligence to fully asses the strategic fit of all targets.
- Meet regularly with targets to build relationships and future pipeline.
- Act as point of contact for all advisors, brokers, lawyers, etc.
- All pricing and valuation duties.
- The creation of robust forecasts and business plans for all targets.
- Structuring deals to incentivise all parties.
- Continually develop and clearly communicate the M&A strategy.
- Develop/refine all M&A playbooks, controls, and processes.
- Plan for the successful integration of all targets, working with internal teams post-acquisition to ensure full integration and synergy realisation.
- Support the CEO and CFO in a range of value creation activities, ranging from the development of the GTM strategy, pricing, cost-out initiatives, driving integration related activities, and supporting organic growth initiatives.
Candidate profile:
- Prior software and/or SaaS deals experience.
- Prior investment banking, M&A Advisory, or TS experience.
- Subsequent experience working as a PE investor, or from a relevant corporate development role.
- C. 6-10 years M&A experience.
- Proven ability to originate deals.
- Demonstratable record of running all aspects of the M&A cycle.
- Excellent EQ and presence, with the ability to build strong relations with founders, entrepreneurs, CEOs etc.
- Prior experience of driving value creation activities a distinct advantage.
