Position Summary
Resolution Life Group is seeking a Corporate Legal Counsel. This is an exciting role in London, reporting to Head of Governance & Senior Legal Counsel in the Group Legal team, with a focus on providing advice to the business on a broad range of corporate and governance matters including transactions, commercial contracts, intellectual property and data protection, and providing company secretarial assistance. This role is new and has been created to respond to the growth of the business. This is a particularly broad corporate and governance role which offers the opportunity to have direct access and exposure to the workings of a dynamic and innovative international business. The Corporate Legal Counsel will have a varied workload, and will be encouraged and empowered to take initiative and have hands-on ownership of projects, and as such the role will provide significant opportunities for learning and development.
Key Accountabilities
- Provide legal advice in connection with the structuring, due diligence, negotiation and execution of corporate transactions, including M&A, with appropriate support from Head of Governance & Senior Legal Counsel and external counsel.
- Provide legal advice in connection with commercial contracts and NDAs, engage in negotiation and oversee end-to-end contracting process with assistance from team Paralegal.
- Provide legal advice in relation to data privacy and intellectual property and branding matters, and in connection with ad hoc requests from across the business.
- Provide support to the Head of Governance & Senior Legal Counsel on governance and company secretarial matters including appointment/resignation of directors, incorporation/dissolution of entities, maintaining and updating of data and records in Diligent (company entities management system), organising board meetings as required, preparing board papers, board minutes and resolutions and publishing on Diligent, and responding to KYC requests.
- Ensure adherence to internal process and required governance (including required Board approvals) for corporate activities.
- Keep up-to-date with regulatory developments affecting the business, particularly in relation to BMA and governance matters.
- Prepare board materials, briefing notes, papers and other documents to a high standard and deliver them in a timely fashion.
- Ensure relationships with both internal and external stakeholders are managed pro-actively and appropriately, encouraging strong relationships to be built and maintained.
- Contribute to discussions on new initiatives and opportunities, ensuring follow-up as needed.
- Provide other general legal advice on a wide range of matters as part of (and where appropriate supporting other members of) the general Group legal team, including taking on any other responsibilities or tasks that are within the employee's skills and abilities whenever reasonably instructed.
- Undertake a varied workload in a demanding environment.
Experience/Skills
- Law degree or other degree combined with relevant post-graduate diploma in law, SQE1 and SQE2 or alternative qualification resulting in legal qualification.
- Qualified solicitor in England (or other common law jurisdiction) with 1+ years PQE (our current expectation is that the role suits a candidate between 1-3 years PQE but will consider applications outside this range).
- Experience working on corporate, governance and transactional legal matters, either in-house or in private practice.
- Experience processing Companies House filings including annual confirmation statements. Experience in (or interest in learning about) broader company secretarial matters and proficiency working with Diligent Boards & Entities a bonus (but not required).
- Excellent attention to detail, organisational and planning skills, as well as written and verbal communication skills.
- Collegiate with ability to quickly build relationships with a broad network of internal stakeholders.
- Ability to work as an individual contributor (with appropriate support from Head of Governance & Senior Legal Counsel), taking initiative, solving problems and finding solutions.
- Ability to cope with ambiguity and prioritise confidently in face of competing demands.
