About the Role We are looking for an experienced Contracts Attorney to join our team and help us navigate the complexities of commercial agreements, licensing, and compliance in the rapidly evolving SaaS landscape. The Contracts Attorney will be responsible for drafting, negotiating, and managing a wide range of customer contracts and legal agreements across the United States, Canada and Europe, which are crucial to our Software as a Service (SaaS) offering . This role requires a minimum of 10 years' experience as a Contracts Attorney, with a strong understanding of B2B, enterprise software licensing, data privacy, intellectual property, and the regulatory framework surrounding SaaS products. You will work closely with cross-functional teams including sales, finance, product, and engineering, ensuring legal compliance while supporting business goals. Key Responsibilities Draft, review, and negotiate SaaS contracts, including Master Service Agreements (MSAs), Subscription Agreements, Software Licensing Agreements, Service Level Agreements (SLAs), Non-Disclosure Agreements (NDAs), and Data Processing Agreements (DPAs). Provide legal guidance on SaaS-specific issues such as IP rights, open-source licensing, and software distribution models. Ensure compliance with data privacy regulations such as GDPR, CCPA, and other relevant international standards. Advise internal teams on legal risks and mitigation strategies related to SaaS offerings, including potential customer disputes, liability concerns, and risk management. Support the legal aspects of commercial partnerships, vendor agreements, and third-party integrations. Collaborate with the product and engineering teams to ensure that contracts align with business objectives and are technically feasible. Stay updated on industry-specific legal trends and emerging regulations affecting SaaS companies. Manage contract lifecycle processes, ensuring proper documentation, approvals, and filing. Assist in the development and improvement of internal contract templates and playbooks for scalability. Provide legal training and guidance to internal stakeholders, ensuring that non-legal teams understand contract terms and obligations. Requirements: Degree from an accredited law school and membership in good standing with a state bar. 10 years of experience as a contracts attorney, with a focus on SaaS, technology, or software-related industries in the United States, Canada and European market. Strong understanding of SaaS business models, software licensing, and related regulatory issues. Expertise in data privacy laws (GDPR, CCPA), intellectual property rights, and technology agreements. Excellent negotiation, drafting, and analytical skills with the ability to balance legal and business considerations. Exceptional communication skills, capable of explaining complex legal concepts to non-legal stakeholders. Proficiency in contract management systems and legal research tools. Ability to work independently, manage multiple tasks simultaneously, and thrive in a fast-paced, evolving environment. High attention to detail and a proactive approach to problem-solving. Preferred Qualifications Experience working in a mid-size B2B, Enterprise Software SaaS company Familiarity with cross-border contract negotiations and international regulatory frameworks. Strong project management skills and experience developing scalable legal processes.
